Course Description

This course examines the company as a business structure.  Topics include an analysis of the incorporation process, the effects of incorporation, management and control of the company, company financing and finally the process of winding a company up.  Students will be exposed to provisions of the Corporations Act 2001 and other relevant company-based legislation.

On successful completion of this course, you will be able to:
  1. Examine the corporate personality and its effect upon the company.
  2. Analyse, locate and interpret provisions of the Corporations Act 2001 and other company related pieces of legislation.
  3. Specify the management and control requirements for a company and the duties and obligations of those involved.
  4. Investigate the various methods of financing a company.
  5. Explore the processes of winding a company up
  6. Review relevant legal material and analyze legal issues arising out of an encountered fact situation.
  7. Formulate an informed decision by applying the relevant law and principles arising out of an encountered fact situation.
  8. Develop and defend the informed decision to an academic and peer audience.
  9. Display appropriate style and terminology to communicate effectively in the discipline.
